The acquisition agreement

Guidewire has agreed to buy London-based hyperexponential for US$1.7 billion in cash, alongside up to US$400 million tied to recurring revenue targets. The deal is expected to close in Guidewire’s fiscal second quarter of 2027, which ends on January 31, 2027, with guidance updates planned for a December earnings call. Guidewire reported annual recurring revenue of US$1.237 billion, up 19% in constant currency, at the end of its fiscal 2026 on July 31.

Integration and market implications

Hyperexponential has been a Guidewire technology partner, but also maintains integrations with competing core systems such as Duck Creek through an existing API. The acquisition announcement does not specify whether Guidewire ownership will alter support for customers using other platforms. In addition, hyperexponential is a partner to UK and London market carriers in complex commercial and specialty underwriting. Insurers adopting the combined technology will need to determine how responsibility is divided between automated tools and human underwriters, particularly regarding regulatory expectations for governance of third-party AI systems.
